These terms set the rules for using the DaioLabs public website. Product access, commercial work, private previews, and venture engagements may be governed by separate agreements.
1. Agreement and scope
These Terms & Conditions govern your access to daiolabs.com and public materials made available by DaioLabs FZCO (“DaioLabs,” “we,” “us”). By accessing the site, you agree to these terms. If you use a DaioLabs product under separate terms or a signed agreement, that agreement controls for the product.
If you access the site for an organization, you confirm that you have authority to bind that organization.
2. Eligibility
You must be at least 18 years old and legally able to enter a binding agreement. You may not use the site if doing so would violate applicable trade controls, sanctions, or other law.
3. Permitted use
You may access and use the site for lawful informational and business purposes. You must not:
- interfere with the site, probe security, or bypass access controls;
- use automated means that materially burden our infrastructure;
- misrepresent affiliation with DaioLabs or use the site to deceive others;
- copy, frame, or redistribute substantial parts of the site except as law permits;
- use our materials to develop a confusingly similar brand or service.
4. Products, previews, and AI outputs
References to products, research builds, waitlists, or private previews do not guarantee availability, functionality, or release. Preview features may change or stop without notice.
AI-generated results can be incomplete or inaccurate. Unless a product agreement expressly states otherwise, outputs should not be treated as professional, legal, medical, financial, or safety-critical advice. Users remain responsible for review and decisions made using outputs.
5. Inquiries and submissions
You retain ownership of material you submit through a contact or application form. You grant us permission to use it to evaluate and respond to the submission and manage the resulting relationship.
Do not submit trade secrets or confidential ideas without a written confidentiality agreement. Unsolicited product or venture submissions are not received in confidence and do not prevent us from developing or considering similar ideas independently.
6. Intellectual property
The site, visual system, copy, software, research materials, names, logos, and other content are owned by DaioLabs or our licensors and are protected by applicable intellectual property laws. These terms grant only a limited, revocable, non-exclusive right to access the site. No trademark or other license is implied.
7. Third-party services
The site may link to third-party websites or use third-party infrastructure. We do not control and are not responsible for third-party content, availability, security, or privacy practices. A link does not imply endorsement.
8. Disclaimers
To the maximum extent permitted by law, the site and public materials are provided “as is” and “as available.” We disclaim implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted access or that public information is complete, current, or error-free.
9. Limitation of liability
To the maximum extent permitted by law, DaioLabs and its directors, employees, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunity arising from the site.
Our aggregate liability arising from the public site will not exceed the greater of US$100 or the amount you paid us specifically for access to the site during the preceding 12 months. Nothing in these terms excludes liability that cannot lawfully be limited.
10. Indemnity
To the extent permitted by law, you will defend and indemnify DaioLabs from third-party claims, losses, and reasonable costs arising from your unlawful use of the site, your submitted material, or your material breach of these terms.
11. Suspension and termination
We may restrict or terminate access if we reasonably believe use creates security, legal, or operational risk, or violates these terms. Provisions that by nature should survive termination—including intellectual property, disclaimers, liability, and governing law—will survive.
12. Governing law and disputes
These terms are governed by the laws applicable in the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles. Courts located in Dubai will have exclusive jurisdiction, unless applicable law requires otherwise. Before filing a claim, each party will attempt in good faith to resolve the issue informally for 30 days.
13. Changes and general terms
We may update these terms and will post the effective date above. Material changes apply prospectively. Continued use after an update means you accept the revised terms.
If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a reorganization or transfer of business.
